These Terms and Conditions of Use (“Terms of Use”) apply to the web site located at www.YogaDownload.com, and all associated sites linked to www.YogaDownload.com by YogaDownload.com, Inc (“YogaDownload”), a Colorado corporation, its subsidiaries and affiliates, (collectively, “Site”). The Site is the property of YogaDownload and its licensors. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

YogaDownload reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms of Use at any time. It is your responsibility to check these Terms of Use periodically for changes; your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. Purchases; Other Terms and Conditions

YogaDownload’s obligations, if any, with regard to its products and services are governed solely by the agreements pursuant to which they are provided, and nothing on this Site should be construed to alter such agreements.

YogaDownload may make changes to any products or services offered on the Site, or to the applicable prices for any such products or services, at any time, without notice. The materials on the Site with respect to products and services may be out of date, and YogaDownload makes no commitment to update the materials on the Site with respect to such products and services.

Subscription Memberships

As outlined on the "Join Now" page all Subscription Memberships will be renewed automatically until canceled by you. You agree to pay all subscription fees and renewals while the subscription account is still active and until you cancel the account and receive confirmation of such cancellation.

CANCELLATION
Your YogaDownload Subscription can be canceled at any time. You’ll still have access to the Subscription until the end of the period you have paid for. Please note that you must cancel your Subscription before it renews for a subsequent term in order to avoid being charged for the next term's Subscription Fee.

NO REFUNDS
If you elect to cancel your subscription, you will not receive a refund for any unused portion of your subscritpion term. We DO NOT provide credit, refunds, or prorated billing for Subscriptions that are cancelled before the end of the term.

Accounts, Passwords, and Security

Certain features or services offered on or through the Site may require you to open an account (including setting up a Site ID and password). You are entirely responsible for maintaining the confidentiality of your account information, including your password, and for any and all activity that occurs under your account. You agree to notify YogaDownload immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by YogaDownload or any other user of or visitor to the Site due to someone else using your YogaDownload ID, password or account.

You may not use anyone else’s Site ID, password or account at any time without the express permission and consent of the holder of that Site ID, password or account. YogaDownload cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

You acknowledge and agree that YogaDownload may preserve any transmittal or communication by you through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or YogaDownload determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of YogaDownload, its employees, users of or visitors to the Site, and the public.

Except where prohibited by law, in no event will YogaDownload be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if YogaDownload has been advised of the possibility of such damages.

Where allowed by law, if, notwithstanding the other provisions of these Terms of Use, YogaDownload is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site or any Content, YogaDownload’s liability shall in no event exceed the greater of (1) the total of any fees with respect to any service or feature of or on the Site paid in the six months prior to the date of the initial claim made against YogaDownload, or (2) US$100.00.

Indemnity

You agree to indemnify and hold YogaDownload, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against YogaDownload by any third party due to or arising out of or in connection with your use of the Site.

Violation of These Terms of Use

You agree that YogaDownload may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to YogaDownload, for which monetary damages would be inadequate, and you consent to YogaDownload obtaining any injunctive or equitable relief that YogaDownload deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies YogaDownload may have at law or in equity.

You agree that YogaDownload may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.

If YogaDownload does take any legal action against you as a result of your violation of these Terms of Use, YogaDownload will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to YogaDownload. You agree that YogaDownload will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.

Governing Law

You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and by the laws of the State of Colorado without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Denver County, Colorado, and waive any objection to such jurisdiction or venue.

Void Where Prohibited

YogaDownload administers and operates the www.YogaDownload.com Site from its location in Denver, Colorado, USA. YogaDownload reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Site is void where prohibited. If you choose to access the Site from outside the United States, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

Miscellaneous

You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.

If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect. These Terms of Use constitute the entire agreement between you and YogaDownload with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and YogaDownload with respect to such use are hereby superseded and cancelled. YogaDownload will not accept any counter-offers to these Terms of Use, and all such offers are hereby categorically rejected. YogaDownload’s failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by YogaDownload of any provision or any right it has to enforce these Terms of Use, nor shall any course of conduct between YogaDownload and you or any other party be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.

App End User License Agreement

Please read this End-User License Agreement ("Agreement") carefully before clicking the "I Agree" button, downloading or using our YogaDownload App ("Application").

By clicking the "I Agree" button, downloading or using the Application, you are agreeing to be bound by the terms and conditions of this Agreement.

If you do not agree to the terms of this Agreement, do not click on the "I Agree" button and do not download or use the Application.

License

YogaDownload, Inc. (“YogaDownload”) grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application solely for your personal, non-commercial purposes strictly in accordance with the terms of this Agreement.

Restrictions

You agree not to, and you will not permit others to:

a) license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the Application available to any third party.

The Restrictions section is for applying certain restrictions on the app usage, e.g. user can't sell app, user can't distribute the app. For the full disclosure section, create your own EULA.

Modifications to Application

YogaDownload, Inc reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.

Term and Termination

This Agreement shall remain in effect until terminated by YogaDownload Inc.

YogaDownload, Inc may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

This Agreement will terminate immediately, without prior notice from YogaDownload, Inc, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your mobile device.

Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your mobile device.

Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Amendments to this Agreement

YogaDownload, Inc reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 (changes this) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Yoga Challenges

By enrolling in a challenge hosted by YogaDownload you agree to opt-in to the included prize partner brands' email lists, and the sharing of your information with the included brands ONLY (you can unsubscribe from their email list at any time). We do not share or sell your information outside of these brands or to any other 3rd party entities.

If you do not agree to these terms do not enroll in a challenge.

Giveaways and Sweepstakes

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING.

1. Eligibility: Our Giveaways and Sweepstakes (the "Sweepstakes") are open only to those who sign up at the online sweepstakes page and who are at least 18+ years old at the time of entry. The Sweepstakes is void where prohibited by law. Employees of YogaDownload.com (the "Sponsor") their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the Sweepstakes. The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Void where prohibited.

2. Agreement to Rules: By participating, you agree to be fully unconditionally bound by these Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of YogaDownload.com, as final and binding as it relates to the content. The Sweepstakes is subject to all applicable federal, state and local laws.

4. How to Enter: The Sweepstakes must be entered by submitting an entry using the instructions provided. The entry must fulfill all sweepstakes requirements, as specified, to be eligible to win a prize. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of YogaDownload.com. You may enter only once and you must fill in the information requested. You may not enter more times than indicated by using multiple e-mail addresses, identities or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules your submission may be removed from eligibility at the sole discretion of YogaDownload.com.  You are agreeing to be added to partner email list.

5. Prizes: You are not guaranteed to win a prize and your chance of winning is dependent on the total number of eligible entries received. Actual/appraised value may differ at the time of prize award. The specifics of the prize shall be solely determined by the Sponsor. No cash or other prize substitution permitted except at Sponsor's discretion. The prize is nontransferable. Any and all prize-related expenses, including without limitation any and all federal, state, and local taxes shall be the sole responsibility of the winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. Acceptance of prize constitutes permission for YogaDownload.com to use winner's name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

6. Odds: The odds of winning depend on the number of eligible entries received.

7. Winner selection and notification: Winners of the Sweepstakes will be selected in a random drawing under the supervision of the Sponsor. Winners will be notified via e-mail to the e-mail address they entered the Sweepstakes within five (5) days following the winner selection. YogaDownload.com shall have no liability for a winner's failure to receive notices due to winners' spam, junk e-mail or other security settings or for winners' provision of incorrect or otherwise non-functioning contact information. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within 7 days from the time award notification was sent, or fails to timely return a completed and executed declaration and releases as required, prize may be forfeited and an alternate winner selected. The receipt by winner of the prize offered in this Sweepstakes is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Rights Granted by you: By entering any contest you understand that YogaDownload.com, anyone acting on behalf of YogaDownload.com, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the Sweepstakes, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.

9. Terms: YogaDownload.com reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In such case, YogaDownload.com may select the recipients from all eligible entries received prior to and/or after (if appropriate) the action taken by YogaDownload.com. YogaDownload.com reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website or violates these Terms & Conditions.

YogaDownload.com has the right, in its sole discretion, to maintain the integrity of the Sweepstakes, to void votes for any reason, including, but not limited to; multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by sweepstakes rules; or the use of bots, macros or scripts or other technical means for entering. Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the sweepstakes may be a violation of criminal and civil laws and should such an attempt be made, YogaDownload.com reserves the right to seek damages from any such person to the fullest extent permitted by law.
